Currently, we are looking for an experienced, responsible and highly motivated colleague to join our team in Bucharest at the position of Head of Legal. The main tasks of the Head of Legal include providing high-quality legal support, managing all Romanian legal matters, ensuring compliance with laws and regulation, strategic advice and guidance to senior management in Romania, managing litigations and regulatory investigations for Leanpay IFN Romania, handling operational legal work (contract, corporate transactions, employment matters) as well as managing and performing compliance activities. The role also requires managing the local legal budget, identifying and mitigating risks, and collaborating with the local team. What will the Head of Legal be doing?

• Developing and implementing legal and regulatory frameworks (including NIS2) and processes to secure legal and regulatory compliance;
• Provide strategic and operational high-quality legal advice on various legal and regulation topics;
• Being on top of local legal changes and maintaining that knowledge in the organization’s operations and legal documents;
• Overseeing all Romanian legal matters, ensuring compliance with relevant laws and regulations: general corporate law, general business law, consumer protection law, consumer lending, and banking and payment service law and employment law;
• Conducting legal compliance risk assessments and develop plans to address regulatory gaps and drive remediation efforts;
• Preparing and overseeing Romanian legal documentation related to Company projects in which expert is included and ensuring that the Company is fulfilling all of its obligations undertaken in the agreements on time;
• Provide advice on corporate governance structure and rules in Romania;
• Coordinate compliance activities within Leanpay IFN with compliance expert senior management as well as Group Head(s) of Legal and Compliance, working closely with local team and external advisors;
• Providing indispensable legal expertise to all business functions in Leanpay IFN;
• Creation, implementation and enforcement of legal and regulatory policies and procedures with specific specialization required in the area of regulator supervision, customer protection law and employment law;
• Manage internal policy and procedure lifecycle by validating, updating, and publishing them within a comprehensive compliance framework for all relevant functional areas;
• Maintain a central repository for all approved documents and organizational policies
• Develop practical tools, templates, and guidance to support legal implementation;
• Stay updated on changes in relevant laws, regulations, and industry standards, and ensure Leanpay IFN's compliance with these changes;
• Work closely with the Group Head of Legal to ensure enhancements in legal processes are adhered to and play a driving role in implementing system changes;
• Report to Senior Management in Leanpay IFN & the Group Head of Legal on topics and in timelines as agreed upfront;
• Strong cooperation and driving the process with Regulators;
• Act as the point of contact for Romanian legal-related queries from external stakeholders;
• Lead and participate in various legal projects;
• Liaise with external legal advisors when necessary and ensure timely updates to governance documentation;
• Build and maintain strong relationships with internal stakeholders, external legal advisors, regulatory bodies, and other relevant parties;
• Handling ad hoc legal tasks as they arise;
• Bringing good judgement and common sense and offering practical solutions to the affiliate legal needs that involve multiple stakeholders and accommodate different needs and perspectives;
• Promote lean and daily management practices to embed legal function into our culture.

What will the successful candidate have?

• A Bachelor's degree in law;
• Minimum 5 years of working experience in related fields - banks, retail banking or compliance;
• Minimum of 10 years of experience in a legal role, with significant experience in corporate and commercial law, compliance, and international transactions;
• Experience in managing legal projects and coordinating with external advisors and functions internationally;
• Proven experience in representing the Legal function on complex Romanian business transactions;
• Significant experience of legal leadership and governance in a regulated financial services environment, ideally within a Romanian non-banking financial institution;
• Capable of interfacing with a multitude of Company functions to deliver consistent and accurate support and bring insightful analyses and judgement to support the business in making informed decisions;
• Be able to take the initiative by identifying and implementing process or other changes in ways of working to ensure that focus in Legal/Compliance remains on managing key risks and making best use of available resources;
• Excellent knowledge and understanding of corporate law/compliance procedures;
• Fluency in English (both verbal and written communication) and proficiency in English legal terminology;
• Excellent communication (both verbal and written), negotiation, and analytical skills in Romanian and English;
• Ability to work independently and collaboratively in a fast-paced environment;
• Attention to detail and ability to prioritize projects effectively;
• Strong task and time management skills;
• Resilience in demanding situations or time-limited tasks.
