About the Role

Our Client is a rapidly growing company in the environmental services and recycling sector, with active operations across multiple branches in Romania and partnerships with top retail and logistics players. We are looking for a Legal Representative / Legal Counsel who will act as a key partner to the management team, supporting day-to-day business decisions, drafting and reviewing contracts, ensuring compliance with Romanian and EU regulations, and safeguarding the company’s interests in all commercial relationships. This role is suited for a proactive and business-oriented legal professional who enjoys combining legal rigor with practical commercial advice.

Key Responsibilities

Contract Management & Review

• Draft, review, and negotiate commercial contracts and agreements with vendors, customers, suppliers, landlords, service providers, and partners.
• Ensure all agreements are compliant with Romanian law and EU directives, particularly in waste management, recycling, logistics, and environmental services.
• Maintain an up-to-date repository of all contracts and track renewals, expirations, and obligations.
• Develop and implement standard templates, clauses, and procedures to improve contract efficiency and reduce legal risks.

Corporate & Legal Governance

• Act as the authorized Legal Representative for signing contracts and representing the company before notaries, trade registries, and authorities, where applicable.
• Support corporate filings, shareholder resolutions, updates of company statutes, and other legal formalities.
• Ensure legal compliance for all subsidiaries, branches, and partnerships.

Advisory & Risk Mitigation

• Advise management on the legal implications of strategic initiatives, new business models, and partnerships.
• Identify potential legal risks and propose practical mitigation measures.
• Liaise with external law firms, notaries, and public authorities as needed.
• Stay current with legislative changes in environmental law, labor law, commercial law, and contract law relevant to company activities.

Dispute Management

• Manage pre-litigation and litigation matters, coordinating with external legal advisors when required.
• Support negotiation and amicable resolution of disputes with vendors or customers.
• Maintain documentation and evidence management for legal proceedings.

Internal Coordination

• Work closely with the Finance, Operations, HR, and Management teams to ensure contract accuracy, risk control, and compliance in daily operations.
• Provide internal training or briefings to colleagues on contract handling, signature protocols, and document retention.
• Support the preparation of board reports or summaries on key legal matters.

Qualifications and Experience

• Bachelor’s degree in Law (mandatory).
• Legal Consultant with minimum 3–5 years in a corporate environment.
• Proven experience in commercial contracts, corporate governance, or business law.
• Experience in sectors such as environmental services, manufacturing, logistics, or retail is an advantage.
• Strong understanding of Romanian civil, commercial, and corporate law; knowledge of EU environmental regulations is a plus.
• Excellent Romanian and English (written and verbal) – legal drafting and negotiation skills.
• Strong communication, attention to detail, and ability to work independently under time pressure.
